1. Acceptance of Terms

By downloading, installing, or using the VibelyTalk application ("App"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use the App. These Terms constitute a legally binding agreement between you and VibelyTalk ("we," "us," or "our"), governed by the laws of India.

2. Eligibility

• You must be at least 18 years of age to use the App.
• You must be a resident of India or have a valid Indian phone number.
• You must not have been previously banned or removed from the platform.
• By using the App, you represent and warrant that you meet these eligibility requirements.

3. Account Registration

• You must register using a valid Indian mobile number verified via OTP.
• You are responsible for maintaining the confidentiality of your account.
• All information provided must be accurate, current, and complete.
• You may not create multiple accounts or impersonate another person.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Virtual Coins — Purchase and Usage

4.1 Coin Purchase (Users)

• Users can purchase virtual coins ("Coins") through the App using Razorpay, Google Play Billing, or Apple In-App Purchase.
• Coins are virtual items with no real-world monetary value outside the App.
• Coins are used to initiate and continue chat sessions with Hosts.
• Coin prices are displayed in Indian Rupees (INR) inclusive of applicable taxes (GST).
• All coin purchases are final and non-refundable, except as required by applicable law or platform policies.

4.2 Coin Earnings (Hosts)

• Hosts (female users approved as content creators/service providers) earn coins when male users spend coins chatting with them.
• Earned coins can be withdrawn as real money (INR) to the Host's registered bank account or UPI.
• Withdrawal is subject to minimum balance thresholds and platform commission.
• We reserve the right to deduct platform fees/commission from earnings before withdrawal.
• Hosts are solely responsible for declaring and paying any taxes on their earnings under Indian tax law.

4.3 No Guarantee of Earnings

VibelyTalk does not guarantee any minimum earnings for Hosts. Earnings depend entirely on user engagement and are not guaranteed, promised, or implied.

5. Refund Policy

• Coin purchases are non-refundable once credited to your account.
• If a technical error results in coins not being credited despite successful payment, contact support within 7 days with transaction proof.
• Refunds, if approved, will be processed within 5-7 business days to the original payment method.
• For in-app purchases made via Google Play or Apple App Store, refund requests must be made through the respective platform's refund process.
• We reserve the right to deny refunds in cases of suspected fraud or Terms violation.

6. Host Verification and Obligations

• Users must apply and be approved to become a Host.
• Hosts must provide accurate identification for verification purposes.
• Hosts must not engage in or solicit any illegal, obscene, or sexually explicit content.
• Hosts must not share personal contact information (phone numbers, social media) with users.
• VibelyTalk reserves the right to revoke Host status and withhold earnings for violations.
• Hosts are independent participants, not employees or agents of VibelyTalk.

7. Prohibited Conduct

You agree NOT to:

• Use the App for any unlawful purpose or in violation of Indian law
• Harass, threaten, bully, or intimidate other users
• Share sexually explicit, obscene, or pornographic content
• Impersonate any person or entity
• Use bots, scripts, or automated means to interact with the App
• Attempt to manipulate the coin system or exploit bugs
• Promote hatred or violence based on religion, caste, gender, or ethnicity
• Solicit money, services, or personal information from other users
• Use the App for prostitution, escort services, or any form of sexual solicitation
• Share another user's personal information without consent
• Circumvent any security or access controls of the App

8. Content Guidelines

• You retain ownership of content you upload but grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute it within the App.
• We may remove content that violates these Terms without notice.
• Profile photos must be of yourself and must not contain nudity, violence, or illegal content.
• We are not responsible for user-generated content and do not endorse any user's statements.

9. Intellectual Property

The App, its design, logos, trademarks, code, and all content created by us are the exclusive intellectual property of VibelyTalk. You may not copy, modify, distribute, or create derivative works without our written permission.

10. Termination

• We may suspend or terminate your account at our sole discretion for violation of these Terms.
• Upon termination, your right to use the App ceases immediately.
• Unused coins in terminated accounts are forfeited and non-refundable.
• Host earnings that have not been withdrawn may be withheld if termination is due to fraud or Terms violation.
• You may delete your account at any time through the App settings.

11. Disclaimers

• The App is provided "as is" and "as available" without warranties of any kind.
• We do not guarantee uninterrupted, error-free, or secure operation of the App.
• We are not responsible for the conduct of any user, whether online or offline.
• We do not conduct background checks on users and make no representations about their character.
• Users interact with other users at their own risk.

12. Limitation of Liability

To the maximum extent permitted by Indian law, VibelyTalk and its directors, officers, employees, and agents shall not be liable for:

• Any indirect, incidental, consequential, or punitive damages
• Loss of profits, data, or goodwill
• Any damages arising from user interactions or conduct
• Any unauthorized access to or alteration of your data

Our total liability shall not exceed the amount you have paid to us in the preceding 3 months.

13. Indemnification

You agree to indemnify, defend, and hold harmless VibelyTalk, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the App, violation of these Terms, or infringement of any third-party rights.

14. Governing Law and Dispute Resolution

• These Terms are governed by the laws of India.
• Any disputes shall first be attempted to be resolved through amicable negotiation within 30 days.
• If unresolved, disputes shall be subject to binding arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed mutually.
• The seat of arbitration shall be in India.
• The courts of India shall have exclusive jurisdiction for any matters not subject to arbitration.

15. Compliance with Indian Law

The App operates in compliance with:

• Information Technology Act, 2000 and IT Rules, 2021
• Digital Personal Data Protection Act, 2023
• Consumer Protection Act, 2019
• Indian Penal Code (regarding obscenity, fraud, and harassment)
• Payment and Settlement Systems Act, 2007 (for financial transactions)
• Foreign Exchange Management Act, 1999 (for any cross-border payments)
• Goods and Services Tax Act, 2017 (for applicable taxes on transactions)

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated date. Your continued use of the App after any changes constitutes acceptance of the revised Terms. We will notify users of material changes via in-app notification or push notification.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
